Terms of Service
1. Agreement to Terms
By creating an account, accessing, or using 27th ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
1.1 Acceptance Mechanism
When you create an account, you are required to affirmatively confirm that you have read and agree to these Terms and our Privacy Policy. This constitutes a legally binding agreement. We record the version of the Terms you accepted and the date of acceptance.
1.2 Contracting Party
These Terms constitute a legally binding agreement between you and:
- Company: Ntropy Space S.R.L.
- CUI: RO44150743
- Address: Bd. 1 Decembrie 1918, 032463 Bucharest, Romania
- Email: [email protected]
2. Eligibility
You must be at least 18 years old to use the Service.
3. Description of Service
27th is a personal financial tracking application for recording and managing monthly bills and payments.
3.1 What We Provide
- A digital ledger to track your bills and payments
- Reminders for upcoming due dates
- Multi-currency support with conversion for display purposes
- Data export capabilities
3.2 What We Do NOT Provide
Important Disclaimer:
- We are NOT a payment processor - We never handle, process, or execute any financial transactions
- We are NOT a banking application - No money ever moves through our system
- We do NOT execute autopay - When you enable "autopay" on a bill, we create a pending payment record on the due date. YOU must review and confirm what actually happened after paying in real life.
4. Free Trial
4.1 Trial Period
New users receive a one (1) month free trial starting from the date of account creation. During the trial, you have full access to all features of the Service. No payment information is required to start the trial.
4.2 End of Trial
When your free trial expires:
- Your account will be placed in a read-only state — you will be able to view and export your existing data but will not be able to create or modify records
- Your data is preserved and will not be deleted
- To regain full access, you must subscribe to a paid plan
- If you do not subscribe, your account and data will remain in read-only state indefinitely. We reserve the right to delete inactive accounts that have been in read-only state for more than 12 months. Before deletion, we will notify you by email and your account will enter the same 30-day grace period described in Section 9.2, during which you may cancel the deletion by logging in or resubscribing
4.3 Trial Limitations
- Only one free trial is available per user. Creating multiple accounts to obtain additional trials is a violation of these Terms
- We reserve the right to modify or discontinue the free trial at any time for new users. Existing trials in progress will not be affected
5. Subscriptions and Payments
5.1 Paid Plans
After the free trial, continued use of the Service requires a paid subscription. We offer:
- Monthly plan — billed once per month
- Yearly plan — billed once per year at a discounted rate
Current pricing is displayed on our website and within the Service at the time of purchase.
5.2 Merchant of Record
Our order process is conducted by our online reseller Paddle.com (paddle.com). Paddle.com Market Limited (registered in England and Wales, Company No. 8172165) is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
This means that when you subscribe to the Service:
- You purchase the subscription from Paddle, but the Service is provided to you by Ntropy Space S.R.L.
- Your payment relationship (billing, invoicing, VAT) is with Paddle
- Paddle handles all payment processing, VAT/tax calculation and collection, invoicing, refund processing, chargebacks, and fraud protection
- We do not collect, store, or have access to your payment card details, banking information, or billing address — these are handled entirely by Paddle
- By subscribing, you also agree to Paddle's Checkout Buyer Terms
Your service relationship (access to features, support, data) remains with Ntropy Space S.R.L.
5.3 Billing
- Subscriptions automatically renew at the end of each billing cycle (monthly or yearly) unless you cancel before the renewal date
- Paddle will charge the payment method you have on file with them
- You are responsible for keeping your payment information up to date with Paddle
- Prices may change with at least 30 days' prior notice. Price changes will take effect at the start of your next billing cycle after the notice period. If you do not agree with the new pricing, you may cancel your subscription before the change takes effect
5.4 Cancellation
You may cancel your subscription at any time through the Service or through Paddle's portal. Upon cancellation:
- You retain full access to the Service until the end of your current billing period
- Your account will then enter read-only state (same as post-trial, see Section 4.2)
- Your data is preserved and available for export
- You may resubscribe at any time to restore full access
6. Refund Policy and Right of Withdrawal
6.1 Right of Withdrawal (14 Days)
Under the European Consumer Rights Directive (Directive 2011/83/EU) as transposed by Romanian Government Ordinance OUG 34/2014, you have the right to withdraw from your subscription within 14 days of the date of purchase, without giving any reason.
6.2 How to Exercise Your Right of Withdrawal
To exercise your right of withdrawal, contact us at [email protected] with a clear statement of your decision to withdraw. We will process your refund through Paddle.
You may also request a refund directly through Paddle's buyer portal, as Paddle is the Merchant of Record for your purchase.
6.3 Refund Processing
If you exercise your right of withdrawal within the 14-day period, you will receive a full refund of the amount paid, processed by Paddle to your original payment method within 14 days of our acknowledgment of your request.
Refunds are processed by Paddle as our Merchant of Record. Refunds may be refused if Paddle identifies evidence of fraud, refund abuse, or other manipulative behavior.
Upon processing the refund, your subscription is cancelled and your account enters the read-only state described in Section 4.2. Your data is preserved and you may resubscribe at any time.
6.4 After the Withdrawal Period
After the 14-day withdrawal period has expired, cancellation follows the standard terms in Section 5.4 — you retain access until the end of your billing period but no refund is issued. Refund requests outside the statutory period may be considered on a case-by-case basis at our discretion.
6.5 Subscription Renewals
The 14-day right of withdrawal applies to the initial subscription purchase only. For subsequent renewals (monthly or yearly), you may cancel before the renewal date to avoid being charged (see Section 5.4). Once a renewal charge has been processed, no refund is issued — cancellation takes effect at the end of the current billing period.
7. Third-Party Authentication
We use Clerk (clerk.com) as our authentication provider. By using the Service, you also agree to:
Clerk handles your authentication credentials (email/password or social login). We do not store your password - it is managed entirely by Clerk.
8. User Responsibilities
8.1 Accurate Information
The Service tracks only what you enter - we're not connected to your bank and don't verify transactions. The accuracy of your records depends on the information you provide.
8.2 Account Security
You are responsible for maintaining the security of your account credentials. Do not share your login information with others.
8.3 Lawful Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
8.4 Acceptable Use
You agree NOT to:
- Create multiple accounts to circumvent the free trial limitation or any other restriction
- Use automated scripts, bots, or scrapers to access the Service
- Attempt to gain unauthorized access to other users' data or to our systems
- Impersonate another person or misrepresent your affiliation with any entity
- Use the Service to store or transmit content that is illegal, defamatory, or infringes on the rights of others
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
We reserve the right to suspend or terminate accounts that violate these rules, in accordance with Section 17.2.
8.5 User-Uploaded Content
You may upload files to the Service (such as payment invoices, receipts, or custom logos). By uploading content, you:
- Confirm you have the right to upload and store the content
- Acknowledge that invoices may contain sensitive personal or financial information - review what you upload
- Understand that uploaded files are stored for your personal use and are deleted when you delete the associated record or your account
All uploaded files undergo automated security validation to protect you and our platform, as described in our Privacy Policy (Section 3.3). This includes scanning PDFs for potentially malicious content and re-encoding images to strip metadata. These checks are fully automated — no human reviews your files. We do not read, analyze, or use the content of your files for any purpose other than these security validations. We are not responsible for any sensitive information contained in files you choose to upload.
9. Account Deletion
9.1 Your Right to Delete
You may request deletion of your account at any time through Settings → Delete Account, regardless of your subscription status.
9.2 Grace Period
When you request account deletion, your account enters a 30-day grace period. During this time:
- Your account remains accessible
- You can cancel the deletion request at any time
- After 30 days, all your data is permanently and irreversibly deleted
9.3 Effect on Active Subscriptions
If you have an active paid subscription when you request account deletion, your subscription will be cancelled automatically. No partial refund is issued for the remaining billing period unless you are within the 14-day statutory withdrawal period (Section 6).
9.4 Post-Deletion Limitations
Once your account is permanently deleted:
- We cannot recover any of your data
- We cannot investigate any historical issues or disputes
- All audit trails and activity logs are permanently removed
If you have concerns about your account history, please export your data before requesting deletion.
10. Data Accuracy and Limitations
10.1 Exchange Rates
Exchange rates displayed in the Service are provided by Open Exchange Rates (openexchangerates.org) and are for informational purposes only. These rates may not reflect real-time market rates or the rates your bank will use. You may also manually enter custom exchange rates for your bills. For actual currency conversions, always use your bank's rates.
10.2 No Financial Advice
The Service does not provide financial, tax, or legal advice. All information displayed is based solely on data you have entered.
10.3 No Guarantee of Reminders
We do not guarantee that reminders will always be delivered or seen. You remain responsible for managing your financial obligations.
11. Service Availability
11.1 Availability Target
We aim to maintain the Service at 99.5% uptime on a monthly basis, excluding scheduled maintenance windows. This is a target, not a guarantee, and does not create any right to compensation.
11.2 Scheduled Maintenance
We may perform scheduled maintenance that temporarily affects availability. Where practicable, we will provide at least 24 hours' advance notice through the Service or by email for maintenance expected to exceed 30 minutes.
11.3 Modifications and Discontinuation
We may modify, suspend, or discontinue the Service (or any part of it) at any time. For material changes or discontinuation:
- We will provide at least 30 days' prior notice by email
- If you have an active paid subscription and we discontinue the Service, you will receive a pro-rata refund for the unused portion of your billing period, processed by Paddle
12. Intellectual Property
The Service and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.
Your data remains yours. We claim no ownership over the financial data you enter into the Service. You grant us a limited, non-exclusive license to process your data solely to provide the Service.
13. Limitation of Liability
Disclaimer:
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE ARE NOT LIABLE FOR:
- Missed payments or late fees (we are a tracking tool, not a payment system)
- Inaccuracies in data you have entered
- Financial losses resulting from reliance on the Service
- Service interruptions or data loss
- Any indirect, incidental, or consequential damages
To the maximum extent permitted by applicable law, our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the total amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits liability where such limitation is not permitted under applicable law, including liability for intentional misconduct or gross negligence.
14. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, pandemics, government actions, power failures, internet or telecommunications failures, or cyberattacks.
15. Dispute Resolution
15.1 Amicable Resolution
Before initiating any formal legal proceedings, you agree to first contact us at [email protected] and attempt to resolve the dispute amicably. We will make reasonable efforts to address your concern within 30 days of receiving your written complaint.
15.2 Consumer Protection
If you are a consumer in Romania, you may also lodge a complaint with the National Authority for Consumer Protection (ANPC):
- Website: https://anpc.ro
- Online Dispute Resolution (EU): https://ec.europa.eu/consumers/odr
If you are a consumer in another EU member state, you may contact your local consumer protection authority.
15.3 Legal Proceedings
If the dispute cannot be resolved amicably within 30 days, either party may initiate legal proceedings as described in Section 16.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Romania.
Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Romania. If you are a consumer residing in the EU, you also retain the right to bring proceedings in the courts of your country of residence, in accordance with applicable EU consumer protection regulations.
17. Termination
17.1 Termination by You
You may terminate your account at any time in accordance with Section 9 (Account Deletion).
17.2 Termination by Us
We may terminate or suspend your account, with or without notice, if we reasonably believe that your conduct:
- Violates these Terms (including the Acceptable Use rules in Section 8.4)
- Is harmful to other users or the Service
- Is illegal or fraudulent
Where legally required, we will provide notice and an opportunity to remedy the issue. If your account is terminated by us due to a violation, no refund will be issued.
18. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the Service before the updated Terms take effect. You will be asked to review and accept the updated Terms before continuing to use the Service.
18.1 Review Period
Until you review and accept the updated Terms, your account is placed in a restricted state:
- You can view all your existing data (bills, payments, settings)
- You can export your data (Settings → Export Data)
- You can delete your account (Settings → Delete Account)
- You cannot create, edit, or delete bills, payments, or other records
This restriction is lifted immediately once you accept the updated Terms.
18.2 If You Do Not Accept
If you do not agree with the updated Terms, you may access your account settings to export your data or delete your account without accepting. If you have an active paid subscription and choose not to accept the updated Terms, your subscription will be cancelled and you will receive a pro-rata refund for the unused portion of your current billing period, processed by Paddle. Previous versions of these Terms are available upon request by contacting [email protected].
19. Entire Agreement
These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings.
20. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
